PJSC Insurance Company “Nadiyna” (Kiev) will increase the authorized capital by UAH 23 million – up to UAH 38 million, the relevant decision was made on September 10 by the sole shareholder of the company – LLC “Agroholding 2012”, which indirectly belongs to Alexander Gerega (51.3%) and Galina Gerega (48.7%) – owners of the group of companies “Epicenter”.
“An increase in the nominal value (8000) of shares is carried out at the expense of directing to the authorized capital of the company the profit (its part) received for the years 2023-2024,” the company reported in the system of disclosure of the NCSSM.
It noted that the authorized capital is increased to meet the norms regarding the minimum amount of authorized capital for insurance activities in accordance with the provisions of the law “On Insurance”.
According to the materials on the company’s website, the entire net profit of the IC for 2023 – UAH 19.8 million and part of the net profit for 2024 – UAH 3.2 million, while UAH 10.92 million remained undistributed.
As reported, IC “Nadiina”, established in 2006, in January-June 2025 collected gross insurance premiums in the amount of UAH 18,94 mln, that is by 41,8% less than in the same period a year ago. Net premiums of the insurer have decreased by 14,6% – to UAH 18,56 mln, and net earned premiums – by 9,5%, to UAH 18,98 mln.
The volume of insurance payments and indemnities, made by IC “Nadiina”, for the first half of 2025 compared to the same period of 2024 has increased by 1,3% – to UAH 6,39 mln, and the level of payments has amounted to 33,8%.
The company’s profit from operating activities has grown to UAH 10,346 mln, net profit – to UAH 10,577 mln.
Assets of the insurer on July 1, 2025 have increased by 6,2% – to UAH 86,95 m, shareholders’ equity – by 16,2% – to UAH 73,56 m, while liabilities have decreased by 27,9% – to UAH 13,39 m, and cash and cash equivalents have grown by 7,6% – to UAH 61,41 m.
Private JSC “Insurance company ‘Nadiyna’ (Kyiv) in January-September 2023 has collected gross insurance premiums in the amount of UAH 49,890 mln, that is by 49,9% less than in the same period a year earlier. This is evidenced by the data in the information of RA “Standard-Rating” on updating the company’s credit rating/rating of financial stability (reliability) of the insurer at the level uaA+ according to the national scale.
Thus premiums from individuals have amounted to UAH 0,36 m, and premiums from reinsurers have been absent. Thus, following the results of the nine months of 2024 the client portfolio of the insurer on gross premiums has been mainly represented by legal persons.
Insurance payments sent to reinsurers, for the reporting period have decreased by 78,57% compared to the same period of 2023 – to UAH 11,818 mln. The ratio of reinsurers’ participation in insurance premiums has decreased by 31,69 p.p. to 23,69%.
Net premiums of the insurer have decreased by 14,31% – to UAH 38,072 mln, and net earned premiums – by 19,28%, to UAH 35,586 mln.
The volume of insurance payments and indemnities made by the company has grown by 89,55% – up to UAH 10,844 mln. Thus, the level of payouts has grown by 15,99 p.p. and has amounted to 21,74%.
Profit from operating activities of the insurer has amounted to UAH 15,335 mln, and net profit has amounted to UAH 13,392 mln.
Assets as of November 1, 2024 have grown by 12,95% – to UAH 85,693 mln, shareholders’ equity – by 5,76%, to UAH 68,306 mln, liabilities – by 54,13%, to UAH 17,387 mln, cash and cash equivalents – by 39,94%, to UAH 57,572 mln.
As of the reporting date, the company formed a portfolio of current financial investments in the amount of UAH 6.195 mln, which consisted of investments in government bonds.
According to the company’s website, it was registered in the Unified State Register of Legal Entities, Physical Entrepreneurs in 2006. Its authorized capital is UAH 15 million.
Its shareholders are eight individuals – residents of Ukraine and one legal entity – Agroholding 2012 LLC.

Insurance payments sent to reinsurers, in Q1 2024 compared to the same period of 2023 have decreased by 49,39% – up to UAH 10,220 mln The ratio of reinsurers’ participation in insurance premiums has grown by 1,53 p.p. – to 57,41%.
Net premiums of the insurer following the results of Q1 2024 compared to Q1 2023 have decreased by 52,44% to UAH 7,581 mln, and earned premiums – by 50,42% to UAH 8,111 mln.
The volume of insurance payments and indemnities made in the reporting period compared to the same period of 2023 has grown in 2,26 times – up to UAH 4,170 mln. Thus, the level of payouts has increased by 18,32 p.p. – up to 23.43%.
At that, the company’s activity has been profitable. Thus, the profit from operating activities of the insurer amounted to UAH 2,183 mln, and net profit – UAH 2,087 mln.
Assets of the company on April 1, 2024 have grown by 0,21% – to UAH 76,025 mln, shareholders’ equity has shown growth by 3,16% – to UAH 66,625 mln, liabilities have decreased by 16,67% – to UAH 9,4 mln, cash and cash equivalents have decreased by 2,01% – to UAH 40,314 mln. Shareholders of PJSC Insurance Company Nadiyna (Kyiv) at the meeting on April 17 will consider the issue of increasing the authorized capital up to UAH 32 million by conducting an additional issue of shares in the amount of UAH 17 million.
In the agenda of the meeting, published in the information disclosure system of the National Commission on Securities and Stock Market (NCSSM), it is noted that the issue will be made by increasing the nominal value of each share from UAH 1.875 thousand to UAH 4 thousand at the expense of directing to the authorized capital of the company part of the profit for 2023, namely UAH 17 million.
As reported, IC “Nadiina” in January-September 2023 has collected insurance premiums in the amount of UAH 99,575 mln, which is by 1,68% more than in the same period last year. Net premiums increased 3,01 times – up to UAH 44,430 mln, and earned premiums – 3,55 times, up to UAH 44,086 mln.
The volume of insurance payments and indemnities made by the company for the nine months of 2023 compared to the same period of 2022 has grown 3,04 times – up to UAH 5,721 mln. Thus, the level of payouts has grown by 3,83 p.p. – to 5.75%.
Profit from operating activities in January-September 2023 has grown to UAH 27,042 mln, and net profit of the insurer has increased to UAH 25,198 mln.
IC Nadijna was registered in the Unified state register of legal entities, physical persons-entrepreneurs in 2006.
