PJSC Vinnytsia Dairy Plant Roshen, part of the Roshen confectionery corporation, will pay shareholders UAH 86.394 million in dividends from net profit for 2024.
“To pay annual dividends on the company’s ordinary registered shares in the amount of UAH 86 million 393 thousand 928.60 UAH from net profit for 2024 at a rate of 461.58 UAH per ordinary registered share,” according to the decision of the general meeting of shareholders published in the information disclosure system of the National Securities and Stock Market Commission (NSSMC) on Friday.
Dividends will be paid directly to shareholders within a period not exceeding six months from the date of the general meeting’s decision to pay dividends.
In addition, the shareholders extended the term of office of the supervisory board in its entirety: Volodymyr Yarandin was re-elected as chairman, and Serhiy Zaitsev and Valentina Vyshnevska retained their positions as members of the board. Yarandin and Zaitsev represent the interests of the shareholder
Ukrainian Confectionery Holding LLC, while Vyshnevska represents the state-owned enterprise Roshen Confectionery Company.
At the same time, the shareholders gave their preliminary consent to the private joint-stock company to enter into major transactions related to the issuer’s financial and economic activities, the subject of which may include, in particular, the purchase or sale of works or services whose value exceeds 25% of the value of assets according to the latest annual financial statements, with a maximum total value of UAH 10 billion. The transactions may be carried out within one year from the date of such decision.
PJSC Vinnytsia Milk Plant Roshen was founded in 1999 in Vinnytsia. The milk plant is the main supplier of raw materials for the corporation’s factories. The plant has a capacity to process 600 tons of milk per day and produce up to 50 tons of dry milk products, up to 30 tons of butter, up to 10 tons of milk fat, and up to 75 tons of condensed milk. Raw materials are supplied from 10 regions of Ukraine, for which the plant has its own motor transport enterprise.
The plant’s products are exported to more than 50 countries around the world, namely Eastern Europe, Asia, North America, and Africa.
According to Opendatabot, in 2024, the plant increased its revenue by 20.6% to UAH 4.322 billion, increased its net profit by 12.9% to UAH 226.023 million, and reduced its debt obligations by 1.1% to UAH 234.29 million. The company’s assets are estimated at UAH 1.221 billion. The plant employs 228 people.
The authorized capital is UAH 9.358 million.
The ultimate beneficiary of the company is Oleksiy Poroshenko, the son of the fifth president of Ukraine, Petro Poroshenko.
PrJSC Kyiv Confectionery Factory Roshen, a part of Roshen Corporation, intends to increase its authorized capital by 33.2%, or UAH 500 million, to UAH 2.006 billion through an additional share issue.
According to the company’s announcement in the NSSMC’s information disclosure system, the investor will be its subsidiary Confectionery Corporation Roshen, which already owned 96.9017% of the shares at the end of the first quarter of this year.
Taking into account the additional issue, the share of the majority shareholder may reach 97.674%.
It is specified that the shareholders’ meeting will consider the issue of increasing the authorized capital on August 16 this year, in particular, the non-use of the shareholders’ preemptive right to purchase shares of the additional issue and its implementation in one stage.
In total, it is planned to issue 2 billion ordinary registered shares with a par value of UAH 0.25, with the sale price to be determined by the Supervisory Board.
Roshen Corporation is one of the top 30 largest confectionery manufacturers in the world. It includes Kyiv, Kremenchuk, two Vinnytsia confectionery factories and Vinnytsia Dairy Plant, a biscuit complex in Boryspil (Ukraine); Klaipeda Confectionery Factory (Lithuania) and Bonbonetti Choco factory (Hungary). Production activities at the Lipetsk factory (Russia) have been suspended since April 1, 2017.
The corporation produces about 320 types of confectionery products. The total production volume reaches 450 thousand tons of products per year.
Roshen’s network of branded stores in Ukraine includes about 70 stores in different regions of the country. The first one was opened in 2009 in Kyiv.
In 2022, PrJSC Kyiv Confectionery Factory Roshen posted a net loss of UAH 984 thousand compared to UAH 25.779 million in profit a year earlier, while the company’s revenue decreased from UAH 979.286 million to UAH 903.195 million.
The ultimate beneficiary of the company is Oleksiy Poroshenko, the son of former President of Ukraine Petro Poroshenko.
Roshen Corporation will allocate UAH 160.4 million for the second stage of reconstruction of Kyiv Confectionary Factory Roshen, PrJSC Kyiv Confectionery Factory Roshen said in the information disclosure system of the National Commission on Securities and the Stock Market. According to the company, the funds will be used for landscaping the territory with the arrangement of a fountain in the territory of the confectionery factory at 1 Nauky Avenue in Holosiyivsky district of the capital. The general contractor of the work is European Construction Technologies LLC.
As reported, Roshen in 2018 announced the investment of UAH 90 million in the creation of a public space in the territory of the factory. The provisional name of the reconstruction project is Roshen Plaza.
According to the company, the factory does not cease to exist, but its capacity is reduced. Part of the production premises will remain in the factory’s territory, the company’s office and public facilities will be located in one of the buildings.

The Roshen network in Ukraine includes 50 stores in five regions of Ukraine. The first one opened in Kyiv in 2009. The corporation annually opens five or six stores.
Vinnytsia dairy plant Roshen, part of the Roshen Group, has expanded geography of export supplies by five countries thanks to entering markets of Singapore, New Zealand, Denmark, China and Qatar.
According to a posting on Roshen’s website, in 2016-2017, products were exported to 45 countries.
Vinnytsia dairy plant Roshen exported 12,918 tonnes of dairy products in 2017.
In total, the plant produced 35,577 tonnes of products last year.
Vinnytsia dairy plant Roshen started operating in June 2014. The milk processing capacity of the plant is 600 tonnes of milk a day.
